Participation, Exhibition, Exclusive Representation and Artwork Use Agreement

This Agreement (hereinafter, the “Agreement”) is entered into by and between the following parties:

hereinafter referred to as the “Artist”; the Organizer and the Artist together are referred to as the “Parties” and individually as a “Party”.

01 About the Project

Armenian Art Corps is an international artists’ collective/platform that develops projects aimed at advancing the arts, fostering international cultural cooperation, and supporting the international presentation of artists.

The ARARAT OPEN CALL project, organized by Armenian Art Corps, is dedicated to Mount Ararat as a subject connecting historical, cultural, biblical, symbolic, and contemporary perspectives.

The purpose of the Project is to explore and reinterpret Mount Ararat through the contemporary perspectives of artists from different countries and cultural contexts, bringing together narratives, legends, memory, identity, and cultural meaning associated with the mountain.

The Project is planned to run for approximately one year, from October 2026 through October 2027. The ARARAT OPEN CALL will remain open throughout the Project period.

Selected artists may be divided into separate exhibition groups. Each exhibition may feature works by approximately 50 artists, depending on the venue, curatorial concept, and organizational conditions.

The Project is expected to include exhibitions in Armenia and internationally, including possible exhibitions in Armenia, France, the United States of America, and other countries.

Information concerning the venue, dates, partners, exhibition spaces, opening events, transportation, and other organizational details of each exhibition may be provided to the Artist by a separate official communication or Project appendix.

02 Subject of the Agreement

The Artist agrees to provide the Organizer, within the framework of the ARARAT OPEN CALL project, with the artwork or artworks identified in Appendix 1 to this Agreement for exhibition, presentation, promotion, and potential sale.

This Agreement applies only to the artworks expressly identified in Appendix 1 and does not restrict the Artist’s right to create, exhibit, or sell other works that are not included in this Agreement.

The Artist remains the author of the artwork and retains all moral rights and other non-transferable rights reserved to the Artist by applicable law.

This Agreement does not transfer full copyright ownership in the artwork to the Organizer. The Organizer receives only the rights of use, exhibition, presentation, reproduction, and sale administration expressly set out in this Agreement.

03 Term of the Agreement

The representation and use rights granted to the Organizer in relation to the artwork shall be effective from “___” __________ 2026 until “___” __________ 2027 and shall remain in force for a total period of 12 months, unless the Parties agree otherwise in writing.

This term may be extended only by mutual written agreement of the Parties.

04 Exclusive Representation

During the term of this Agreement, Armenian Art Corps shall act as the official and exclusive representative of the artwork identified in Appendix 1 within the framework of the ARARAT OPEN CALL project.

The Organizer shall have the right to:

• present the artwork at international ARARAT OPEN CALL exhibitions;
• conduct negotiations with galleries, exhibition venues, museums, collectors, partners, and prospective buyers;
• offer the artwork for sale;
• present the artwork on online and physical platforms;
• include the artwork in exhibition catalogues and official Project materials;
• promote and publicize the artwork for advertising and PR purposes;
• use images of the artwork for the Project’s international communications.

During the term of this Agreement, the Artist shall inform the Organizer of any offers received concerning the sale or exhibition of the same artwork.

The Artist may not grant a third party the right to sell the same artwork or any exclusive representation rights that conflict with ARARAT OPEN CALL without the Organizer’s prior written consent. This restriction does not apply to the Artist’s other artworks.

05 Sale of the Artwork

The proposed sale price of each artwork shall be agreed in advance by the Parties and stated in Appendix 1. The Organizer shall have the right to offer the artwork for sale at the stated price.

The Organizer may grant a discount of up to 10% without additional approval from the Artist. Any discount exceeding 10% requires the Artist’s prior written consent.

If the artwork is sold, the sale proceeds actually received shall be distributed as follows: 60% to the Artist and 40% to the Organizer. The Organizer’s share constitutes compensation for organizational, representation, sales administration, and Project-related services.

Shipping, insurance, customs, or other logistics costs paid separately by the buyer shall not be considered part of the artwork’s sale price unless otherwise agreed by the Parties in writing.

The amount due to the Artist shall be transferred no later than 10 business days after the Organizer has actually received the full sale proceeds. The Organizer shall provide the Artist with relevant sale information, including the final sale price and the calculation of the amount payable.

Each Party shall be independently responsible for any taxes and other mandatory payments applicable to the amounts received by that Party under the laws of the relevant jurisdiction.

06 Merchandise and Reproduction of the Artwork Image

The Artist authorizes the Organizer to use the image of the selected artwork within the ARARAT OPEN CALL project for the creation of Project merchandise and related products. Such products may include, without limitation:

• printed catalogues, posters, and postcards;
• clothing, bags, and accessories;
• other printed and design products;
• official Project souvenir products.

For these purposes, the Organizer may photograph, scan, digitize, resize, and technically adapt the artwork to the relevant product format, provided that the nature of the artwork and the Artist’s professional reputation are not distorted or harmed.

Revenue generated from merchandise created within the ARARAT OPEN CALL project and financed or produced by the Organizer is intended to fund the Project’s organizational activities, international exhibitions, production, communications, and development costs and shall belong to the Organizer, subject to any mandatory author-remuneration requirements under applicable law.

If applicable law requires a separate minimum or other mandatory payment to the author for a specific type of use, the Organizer shall make such payment in the amount required by law.

This Agreement does not grant the Organizer the right to issue NFTs, blockchain-based digital assets, or separate digital collectible products unless the Parties enter into a separate written agreement concerning such use.

07 Promotional and Communication Use

The Artist authorizes the Organizer, without additional charge, to use the image of the artwork, the Artist’s name, submitted biography, photograph, and Project-related information on the ARARAT OPEN CALL website, social media, press releases, catalogues, exhibition posters, invitations, videos, media publications, partner and sponsor communication materials, and exhibition documentation.

Where reasonably practicable, the Artist shall be credited in connection with such use.

Following the expiration of this Agreement, the Organizer may retain already published exhibition photographs, catalogues, videos, and Project archival materials for archival, historical, and non-new-commercial-presentation purposes.

08 Funding and Artist Participation

The ARARAT OPEN CALL project may be funded by sponsors, partner organizations, and private companies. Such funding is directed toward the organization of the Project, including exhibition venues, technical production, international cooperation, design, communications, PR, printing, merchandise, logistics, and other necessary Project expenses.

Participation in the Project does not constitute a grant, scholarship, employment relationship, or employment contract. Unless otherwise agreed separately in writing, the following are not provided to the Artist:

• salary or artist fee;
• scholarship or stipend;
• travel expenses, airfare, or accommodation;
• per diem;
• visa-expense reimbursement or other individual financial support.

The Artist’s physical presence at the exhibitions is not mandatory.

09 Delivery and Logistics of the Artwork

Upon delivery of the artwork to the Organizer, an artwork receipt or condition report shall be prepared where practicable, identifying the artwork title, artist, year, technique, dimensions, sale price, physical condition, and relevant photographs.

The Artist shall be responsible for the initial delivery of the artwork to the Organizer or to a receiving location designated by the Organizer, unless otherwise provided by the conditions of a particular exhibition.

After the Organizer has received the artwork, transportation between exhibitions within the framework of ARARAT OPEN CALL shall be organized by the Organizer, who may provide separate conditions before each exhibition regarding international transportation, customs formalities, insurance, and other special requirements.

10 Care of the Artwork and Liability

The Organizer shall exercise reasonable professional care with respect to artworks while they are under the Organizer’s physical control.

If a third party, including a gallery, museum, logistics company, or other partner organization, is engaged for transportation or exhibition of the artwork, the Organizer shall, where reasonably possible, seek to ensure appropriate conditions for the safe handling and storage of the artwork.

The Organizer shall not be liable for damage resulting from the artwork’s inherent or natural material characteristics, improper packaging by the Artist, undisclosed material instability, force majeure circumstances, or actions of governmental or customs authorities, unless such damage was caused by the Organizer’s intentional misconduct or gross negligence.

11 Return of the Artwork

If the artwork is not sold during the term of this Agreement, the Organizer shall arrange for the artwork to be returned to the Artist following expiration of the Agreement.

The Artist shall provide in a timely manner a valid return address, recipient name, telephone number, and any other information reasonably required for return shipment. The Organizer shall notify the Artist regarding the arrangements for return of the artwork.

Any import taxes, customs duties, or other governmental charges imposed by the Artist’s country in connection with an international return shall be borne by the Artist unless such charges may lawfully be exempted.

12 Artist Warranties

By signing this Agreement, the Artist represents and warrants that:

• the Artist is the author of the submitted artwork and/or holds all rights necessary to submit and authorize use of the artwork;
• the artwork does not infringe any third party’s copyright, trademark, image, privacy, or other rights;
• the artwork is not stolen property and is not otherwise unlawfully held or circulated;
• the Artist has the authority to grant the Organizer the rights provided for in this Agreement;
• the information provided regarding authorship, technique, date, and provenance of the artwork is accurate.

If a substantiated legal claim is made by a third party, the Artist shall reasonably cooperate in addressing and resolving the matter.

13 Withdrawal of the Artwork and Early Termination

Due to the Project’s organizational obligations and international exhibition commitments, the Artist may not unilaterally withdraw an already approved artwork during the term of this Agreement without justified cause.

If the Artist wishes to withdraw the artwork from the Project, the Artist shall notify the Organizer in writing.

If documented and non-refundable organizational, transportation, production, or exhibition costs have already been incurred in relation to the artwork, the Parties may agree that the Artist shall reimburse such direct costs in the event of an unjustified unilateral withdrawal.

If either Party materially breaches this Agreement, the other Party may request in writing that the breach be remedied within a reasonable period and, if the breach is not remedied, may terminate the Agreement.

14 Force Majeure

Neither Party shall be liable for failure to perform its obligations where such failure results from extraordinary and unforeseeable circumstances beyond the reasonable control of the Parties, including war, military action, civil unrest, natural disaster, epidemic or pandemic, closure of national borders, suspension of international transportation, restrictions imposed by public authorities, inability of an exhibition venue to operate, or other comparable force majeure circumstances.

In such circumstances, the exhibition date, country, city, or venue may be changed.

15 Changes to Exhibitions

The Organizer may, where organizationally necessary, change the sequence, country, city, venue, or dates of planned exhibitions.

Such a change shall not in itself constitute a breach of this Agreement provided that the general purpose of the Project and the Artist’s opportunity to participate are maintained. Final details of each exhibition shall be communicated separately.

16 Personal Data and Communications

The Artist agrees that the Artist’s name, professional biography, country, website, and publicly available social-media information provided by the Artist may be used for Project organization and communication purposes.

Banking information, passport information, address details, and other non-public personal information shall be used by the Organizer only to the extent reasonably necessary for contractual, financial, logistical, and legal purposes.

17 Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Armenia, unless the Parties expressly agree otherwise in a separate written agreement.

The Parties shall first attempt to resolve any disagreement arising out of or in connection with this Agreement through good-faith negotiations. If no resolution is reached, the dispute shall be submitted to the competent court of the Republic of Armenia in accordance with applicable law.

18 Final Provisions

This Agreement and its appendices constitute the entire agreement between the Parties with respect to its subject matter. Any amendments or additions to this Agreement shall be valid only if made in writing.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement may be executed physically or electronically in accordance with applicable law. Copies of this Agreement signed or otherwise approved electronically by the Parties may be used as evidence of the Parties’ agreement to the extent permitted by law.

This Agreement may be prepared in Armenian and English. For international participants, the Parties may separately specify which language version shall prevail in the event of any discrepancy in interpretation.

19 Signatures of the Parties

A1 Appendix 1 — Artwork Details

The Artist confirms that the information stated above is accurate and that the artwork is submitted to the ARARAT OPEN CALL project under the terms of this Agreement.

This document is intended as a contractual working draft. Before international use or large-scale execution, a final review by qualified legal counsel is recommended.
